Legal
Terms and Conditions
1 SCOPE AND CONTRACTING PARTY
1.1 These Terms and Conditions apply to all contracts concluded via the websites maltaohnemaerchen.com, maltanofairytales.com and malta.auswandernhilft.de or by email between Solution Broker Mobility Service Ltd., Centris Business Gateway, Level 4/W, Triq is-Salib tal-Imriehel, Zone 3, Central Business District, Birkirkara CBD 3020, Malta, registered with the Malta Business Registry under C 117343 (hereinafter "we"), and you as a consumer or business (hereinafter "you").
1.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession. A business is any natural or legal person acting in the exercise of their trade, business or profession when concluding the contract. Provisions that expressly apply only to consumers, in particular the right of withdrawal, do not apply to businesses.
1.3 Any terms of the client that deviate from these Terms do not form part of the contract unless we expressly agree to them in writing.
2 OUR SERVICES
2.1 We provide information, planning and coordination services relating to relocating to Malta and establishing yourself there. The individual services are set out in the respective service description on the website, which forms part of the contract. They include in particular the Open Q&A, the knowledge packages Fundamentals and Playbook, the Initial consultation and the Relocation mandate and Company mandate.
2.2 The knowledge packages Fundamentals and Playbook are information documents that we compile on the basis of your details and that state the legal position as of a given date. They reflect the general state of procedures, responsibilities, deadlines and cost ranges. Template letters are templates, not letters reviewed for your individual case. You receive the Fundamentals and Playbook packages by email within five days of receipt of your fully completed questionnaire.
2.3 The Initial consultation and the mandates comprise structuring your starting position, the sequence of steps, naming the competent bodies and the information each of them requires, scheduling, preparing appointments and documents, and coordination and accompaniment. Instructions and signatures are given by you. Submissions are made by you or by the authorised providers you instruct. Applications, account openings and registrations are decided by the competent authorities, banks and bodies. We do not coordinate the services of authorised providers; instructions, documents, correspondence and payments relating to them pass directly between you and the respective provider. The initial consultation takes place on a date agreed with you.
3 WHAT WE DO NOT PROVIDE
3.1 We do not provide legal advice or tax advice, neither under German nor under Maltese law. We do not review or assess your individual case from a legal or tax perspective. Binding information on your individual case is given exclusively by licensed Maltese lawyers, tax advisers and Company Service Providers and by your competent advisers in your home country.
3.2 We do not file applications in our own name, we do not represent you before authorities, banks or courts, and we do not accept or hold any money on your behalf.
3.3 We do not act as real estate agents, and we do not search for properties, arrange viewings or preselect homes or offices. Searching, viewings, negotiations and the conclusion of contracts are carried out by you with the provider or a licensed estate agent. We receive no remuneration from third parties in connection with property transactions.
3.4 We give no assurance as to the success of applications, the outcome of procedures, the grant of a residence permit, a tax status or an account opening, or the amount of taxes and levies.
4 AUTHORISED PROVIDERS
4.1 Within the Relocation mandate and the Company mandate, we name at least two authorised Maltese providers per area for reserved tasks such as tax registration, tax returns, bookkeeping, VAT and company formation. You choose freely and instruct and pay the provider directly. Being named does not oblige you to instruct any of the providers named. From the moment you instruct a provider, only the contract between you and that provider applies.
4.2 We pass your data on to a provider only if you separately ask us to do so or consent to it.
4.3 If you instruct one of the providers we name, that provider may pay us a fee for the cooperation. This does not increase the fee you pay to that provider, and your choice remains free. On request, we will tell you whether and from which provider we receive such a fee.
5 CONCLUSION OF CONTRACT
5.1 The presentation of our services on the website is not a binding offer but an invitation to you to submit an offer.
5.2 For enquiries by email or via the contact form, the contract is concluded when we send you an offer together with these Terms, the service description and the cancellation notice, and you accept it in text form.
5.3 For packages offered on the website with the "Book online now" button, you enter your details in the order window and choose a payment method. Before submitting, you can review and correct all details or cancel the process. By clicking "Order with obligation to pay" you make a binding offer. The contract is concluded as soon as your payment has been confirmed by the payment provider. We confirm the conclusion of the contract to you by email without delay.
5.4 We store the contract text and send it to you, together with these Terms and the cancellation notice, on a durable medium; for online bookings with the order confirmation. The contract language is English, unless German has been agreed.
6 PRICES AND PAYMENT
6.1 The prices stated on the website at the time of the offer apply. All prices are final prices including statutory VAT. Mandates are charged according to an individual offer.
6.2 Payment is due before the service begins. For online bookings, you pay during the order process via Stripe by card, Revolut Pay or the further payment methods shown there. Payment is processed by the respective payment provider; we do not receive your card details. For enquiries by email or contact form, you pay by the method stated in the offer. For mandates, instalments by service stage may be agreed.
6.3 Once your payment has been received, you will receive an invoice as a PDF by email. For online bookings, our payment provider Stripe sends the invoice on our behalf.
6.4 Fees of the providers instructed by you, charges of authorities and registries, and costs of translations, apostilles, transport, rent and insurance are not included in our prices and are paid by you directly to the respective provider.
7 YOUR COOPERATION
7.1 Our services are based on the information you provide. You provide us with the information required for the service completely and correctly and inform us of any changes without delay.
7.2 Deadlines we state presuppose that you complete the steps for which you are responsible in good time. We are not responsible for delays caused by missing or late cooperation, by decisions of third parties or by processing times of authorities.
8 RIGHT OF WITHDRAWAL
As a consumer, you have a right of withdrawal in accordance with the cancellation notice, which you receive before the contract is concluded and which forms part of these Terms. If you request that we begin the service before the withdrawal period expires and confirm that you are aware that you lose your right of withdrawal once the service has been fully performed, the legal consequence described in the cancellation notice applies. For the knowledge packages Fundamentals and Playbook, the right of withdrawal expires as soon as performance begins, provided you have previously given your express consent for us to begin before the end of the withdrawal period and confirmed your acknowledgement that you will lose your right of withdrawal.
9 LIABILITY
9.1 We are liable without limitation for damage resulting from injury to life, body or health, for damage based on intent or gross negligence, under mandatory product liability law and to the extent of any guarantee we have given.
9.2 In the event of a slightly negligent breach of an obligation whose fulfilment is essential for the proper performance of the contract and on whose fulfilment you may regularly rely, our liability is limited to the foreseeable damage typical for this type of contract. Otherwise, liability for slight negligence is excluded.
9.3 We are not liable for decisions, services or information of the providers instructed by you, of authorities, banks or other third parties. The information documents reflect the legal position as of the stated date; we accept no responsibility for subsequent changes to laws, fees or administrative practice.
9.4 In all other respects, the statutory warranty rights apply.
10 DATA PROTECTION
We process your personal data in accordance with the privacy policy on the website. Data is passed on to providers instructed by you only with your consent and only to the extent necessary for the handover.
11 APPLICABLE LAW AND DISPUTE RESOLUTION
11.1 The law of the Republic of Malta applies, excluding the UN Convention on Contracts for the International Sale of Goods. This choice of law does not affect the mandatory consumer protection provisions of the country in which you have your habitual residence; these apply alongside the chosen law insofar as they are more favourable to you.
11.2 We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
12 FINAL PROVISIONS
12.1 Amendments and additions to the contract must be made in text form.
12.2 Should any provision of these Terms be invalid, the remainder of the contract remains valid; the invalid provision is replaced by the statutory provisions.
